Think You Might Have a Sales Tax Problem?
You can’t quite shake the feeling that there might be a sales tax issue somewhere, you’re just not sure how big it is, or even whether it’s real. That’s an uncomfortable place to sit, and it’s exactly where most of the companies we work with start. Not with a number. With a suspicion. You might have talked to Claude or ChatGPT about it. And, like asking AI to diagnose a medical condition, you’ll get an answer…and it’ll sound right…but you might just want an expert opinion.
The good news is that the suspicion is the hard part. Once you can actually see the issue (where it is, how far back it goes, and what it adds up to) it almost always becomes something you can deal with.
The Worry Usually Starts Somewhere Specific
The feeling tends to show up after something changed. A few of the common ones:
- You’ve hired people, or grown sales, in states you’re not filing in.
- A new CFO or controller started asking questions no one could fully answer.
- The numbers coming out of your sales tax software stopped looking right.
- A deal or a raise is on the horizon, and you want the books clean before anyone looks.
- Someone (an auditor friend, a board member, a peer) made an offhand comment that stuck with you.

The First Step is Just to Assess It
You don’t need to fix anything yet. You find out how big it is. The way we do that is a nexus and taxability review: a focused look at how your business actually operates that tells you where you genuinely have obligations, since when, what’s taxable in each state, and what any back exposure adds up to. The Problem Is Usually Smaller Than It Feels
The worst version of a sales tax problem almost always lives in your head, where it has no edges. On paper it has edges. Often it’s smaller than feared, and even when there’s real back exposure, there are clean, established ways to resolve it, frequently a voluntary disclosure that limits how far back a state can reach and waives the penalties. The point of starting isn’t to confirm the worst. It’s to replace the worst-case in your head with the real one, which is almost always easier to live with. You Don’t Need Answers to Start
Most people reach out at exactly this stage (a feeling, not a diagnosis) and that’s the right time, not the wrong one. You don’t need to know what’s wrong, or whether anything is. A short conversation usually tells us how big the issue might be, what likely caused it, and whether it’s even worth acting on. If it’s nothing, we’ll tell you that too.
